OVERVIEW

Welcome to BubbaSKU. The terms "we," "us," and "our" refer to BubbaSKU, a brand and service operated by Jenni Pro Inc., a Delaware corporation. BubbaSKU is an online retailer. We are the merchant of record for every transaction on our platform. When you shop with BubbaSKU, you are buying directly from us.

What makes us different is speed. BubbaSKU leverages a proprietary decentralized logistics network to deliver products to your door in as little as one hour. We do not operate a centralized warehouse. Instead, our technology connects verified inventory across trusted local retail locations, allowing us to fulfill orders faster than traditional e-commerce, without sacrificing product authenticity or customer experience.

These Terms of Service ("Terms"), together with the Privacy and Data Practices section included herein and any policies referenced in this document, describe your rights and responsibilities when you use BubbaSKU's website, online store, and all related information, content, features, tools, products, and services (collectively, the "Services"). BubbaSKU is powered by Shopify, which enables us to provide the Services to you.

Please read these Terms carefully. They include important information about your legal rights, warranty disclaimers, limitations of liability, and our data practices.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms. If you do not agree, you should not use or access our Services.

SECTION 1 – HOW BUBBASKU WORKS

1.1 We Are the Retailer

BubbaSKU is the sole seller and merchant of record for all products listed on our platform. You buy from us. We handle your payment, your order, your delivery, and your customer support. There are no third-party seller profiles, no external checkout redirects, and no marketplace middlemen.

1.2 Product-Led Experience

Our platform is organized around products, not stores. You come to BubbaSKU to find the exact item you want. Our search, navigation, and categories are built around SKUs, brands, and product types. The fulfillment source is invisible to you and handled entirely by our logistics technology.

1.3 Speed Is Our Primary Product

BubbaSKU is built around hyper-local, same-day delivery. Our proprietary SKU Graph technology identifies verified, in-stock inventory near your location and routes your order for the fastest possible fulfillment. Delivery estimates are displayed dynamically on product pages based on your ZIP code and real-time inventory availability.

1.4 Product Authenticity and Certainty

Every product sold on BubbaSKU is 100% authentic, sourced from authorized retail inventory. You buy SKU A, you get SKU A. We do not substitute products. If the exact item you ordered becomes unavailable after purchase, you receive a full and immediate refund. No guessing, no swapping.

1.5 Returns Through BubbaSKU Only

All post-purchase inquiries, including returns, exchanges, and warranty matters, must be handled through BubbaSKU directly. Because we are the retailer, we manage the entire customer lifecycle from purchase to resolution.

SECTION 2 – ACCESS AND ACCOUNT

2.1 Eligibility

By agreeing to these Terms, you represent that you are at least 18 years of age (or the age of majority in your jurisdiction) and that you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase, or manage.

2.2 Account Information

To use the Services, including browsing our store or purchasing products, you may be asked to provide certain information such as your name, email address, billing, payment, and shipping information. You represent and warrant that all information you provide is correct, current, and complete and that you have all rights necessary to provide it.

2.3 Account Security

You are solely responsible for maintaining the security of your account credentials and for all activity under your account. You may not transfer, sell, assign, or license your account to any other person. If you suspect unauthorized activity, you must notify BubbaSKU immediately at orders@bubbasku.com.

SECTION 3 – OUR PRODUCTS

We have made every effort to provide accurate representations of the products available through our Services. However, colors or product appearance may differ from how they appear on your screen due to your device type, settings, and configuration.

Product descriptions, availability, and pricing are subject to change at any time without notice. We reserve the right to discontinue any product at any time and may limit quantities offered to any person, geographic region, or jurisdiction on a case-by-case basis.

SECTION 4 – ORDERS AND FULFILLMENT

4.1 Order Acceptance

When you place an order, you are making an offer to purchase. BubbaSKU reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until BubbaSKU confirms acceptance and we have received and processed your payment. Please review your order carefully before submitting, as BubbaSKU may be unable to accommodate cancellation requests after an order has been accepted.

4.2 Delivery

Upon order acceptance, BubbaSKU will fulfill your order through our logistics network and arrange delivery. Delivery time estimates displayed on product pages are based on real-time inventory and your location. These estimates are provided in good faith but are not guaranteed. BubbaSKU is not responsible for delays caused by logistics carriers, weather, or events outside our control.

4.3 Item Unavailability

If the exact product you ordered becomes unavailable after your order is accepted, BubbaSKU will notify you immediately and issue a full refund to your original payment method. We do not substitute products without your explicit consent.

4.4 Title and Risk of Loss

Once BubbaSKU transfers products to the delivery carrier, title and risk of loss pass to you.

SECTION 5 – PRICES, BILLING, AND PAYMENTS

5.1 Pricing

Prices, discounts, and promotions are subject to change without notice. The price charged for a product will be the price in effect at the time the order is placed. Unless otherwise stated, posted prices do not include taxes, shipping, handling, customs, or import charges. Prices posted on BubbaSKU may differ from prices offered in physical stores or on other platforms.

5.2 Payment Processing

All payment processing for BubbaSKU is handled securely through our PCI-compliant payment processor. Your credit card is charged on BubbaSKU.com. You never leave our site to complete a purchase. BubbaSKU never stores your full credit card information, card number, CVV, or other sensitive payment credentials on our servers.

5.3 Billing Accuracy

You agree to provide current, complete, and accurate purchase, payment, and account information. You agree to promptly update your information so that we can complete transactions and contact you as needed. You represent and warrant that the payment information you provide is true, correct, and complete, that you are duly authorized to use such payment method, and that charges incurred by you will be honored.

SECTION 6 – RETURNS AND EXCHANGES

Your purchases are subject to return or exchange solely in accordance with BubbaSKU’s Return and Exchange Policy, which is available on our website. Because BubbaSKU is the retailer and merchant of record, all returns must be processed through BubbaSKU directly. Certain product categories may be classified as Final Sale. Please consult our Return and Exchange Policy for full details on eligibility, exclusions, and procedures.

SECTION 7 – PRIVACY AND DATA PRACTICES

This section serves as BubbaSKU’s integrated Privacy Policy. By using our Services, you acknowledge that you have read and understood these data practices.

WE WILL NEVER SHARE YOUR CREDIT CARD INFORMATION, FULL PAYMENT CREDENTIALS, CVV, CARD NUMBER, OR SENSITIVE FINANCIAL DATA WITH ANY LOGISTICS PARTNER, SERVICE PROVIDER, OR THIRD PARTY. Your payment information is processed exclusively by our PCI-compliant payment processor and is never stored on BubbaSKU’s servers or transmitted to partners.

7.4 Third-Party Service Providers

We may engage trusted third-party companies and individuals to perform services on our behalf, including:
• Payment processing (e.g., Stripe, Inc.).
• Cloud hosting and infrastructure (e.g., Amazon Web Services, Google Cloud Platform).

These providers are contractually bound to use your personal information only as necessary to perform services for BubbaSKU and are required to maintain its confidentiality and security.

We retain your personal data for as long as necessary to fulfill the purposes described in these Terms, maintain your account, comply with legal obligations, resolve disputes, and enforce our agreements. When data is no longer required, it is securely deleted or anonymized.

When transferring data from the European Economic Area, United Kingdom, or Switzerland, BubbaSKU relies on Standard Contractual Clauses and applicable Data Privacy Frameworks.

All intellectual property rights in and to the Services—including but not limited to the BubbaSKU name, logos, product interface designs, software, content, text, images, graphics, and audio—are and shall remain the exclusive property of BubbaSKU and Jenni Pro Inc., or their licensors, and are protected by U.S. and international intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on the Services without our prior written consent. All rights not expressly granted herein are reserved.

SECTION 9 – FEEDBACK

If you submit any ideas, suggestions, feedback, reviews, or proposals ("Feedback"), you grant BubbaSKU a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display such Feedback in any medium for any purpose. You represent and warrant that you own or have all necessary rights to any Feedback you provide.

The Services may contain links to third-party websites, tools, or services that we neither monitor nor control. We are not liable for any harm or damages related to your access of any third-party websites or your purchase or use of products, services, resources, or content from third parties. You may also be provided access to optional tools offered by third parties as part of the Services, which are provided "as is" and "as available" without any warranties.

SECTION 11 – RELATIONSHIP WITH SHOPIFY

BubbaSKU is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make through BubbaSKU are made directly with BubbaSKU. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and BubbaSKU, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with BubbaSKU.

Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve the Services. Information you submit to the Services will be transmitted to and shared with Shopify as well as third parties that may be located in other countries, in order to provide services to you. SECTION 12 – PROHIBITED USES

You may access and use the Services for lawful purposes only. You may not, directly or indirectly:
(a) Use the Services for any unlawful or malicious purpose.
(b) Violate any international, federal, state, or local regulations, rules, or laws.
(c) Infringe upon the intellectual property rights of BubbaSKU or others.
(d) Harass, abuse, insult, harm, defame, or intimidate any person.
(e) Transmit false or misleading information.
(f) Upload or transmit viruses or malicious code that may affect the functionality of the Services.
(g) Collect or track the personal information of others, or engage in scraping, spidering, or crawling.
(h) Impersonate any other person or entity.
(i) Interfere with or circumvent the security features of the Services.
(j) Purchase products for commercial resale or export in violation of applicable law.

We reserve the right to suspend, disable, or terminate your account at any time, without notice, if we determine that you have violated any part of these Terms.

SECTION 13 – ERRORS, INACCURACIES, AND OMISSIONS

Occasionally there may be information on or in the Services that contains typographical errors, inaccuracies, or omissions related to product descriptions, pricing, promotions, offers, shipping charges, transit times, and availability. We reserve the right to correct any errors and to change or update information or cancel orders if any information is inaccurate, at any time without prior notice, including after you have submitted your order.

SECTION 14 – DISCLAIMER OF WARRANTIES

EXCEPT AS EXPRESSLY STATED BY BUBBASKU, THE SERVICES AND ALL PRODUCTS SOLD THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTIES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. DELIVERY TIME ESTIMATES ARE PROVIDED IN GOOD FAITH BUT ARE NOT GUARANTEED. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES, SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU.

SECTION 15 – LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT SHALL BUBBASKU, JENNI PRO INC., OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, ARISING FROM YOUR USE OF ANY OF THE SERVICES OR ANY PRODUCTS PURCHASED THROUGH THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY.

BUBBASKU’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) USD $500 OR (B) THE TOTAL AMOUNT PAID BY YOU TO BUBBASKU IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SECTION 16 – INDEMNIFICATION

You agree to indemnify, defend, and hold harmless BubbaSKU, Jenni Pro Inc., Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, or claims, including reasonable attorneys’ fees, arising out of (1) your breach of these Terms, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services.

SECTION 17 – TERMINATION

We may terminate this agreement or your access to the Services at any time without notice, and you will remain liable for all amounts due up to and including the date of termination. Upon termination, all rights granted to you cease immediately. Sections concerning intellectual property, feedback, disclaimers, limitation of liability, indemnification, dispute resolution, privacy, and governing law shall survive termination.

SECTION 18 – DISPUTE RESOLUTION AND GOVERNING LAW

18.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware and, to the extent applicable to local operations, the State of Texas, without regard to conflict-of-law principles.

18.2 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The seat of arbitration shall be Wilmington, Delaware. The language shall be English. The arbitrator’s decision will be final and binding.

18.3 Class Action Waiver

To the maximum extent permitted by law, you and BubbaSKU agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative action.

18.4 Small Claims Exception

Nothing in this clause prevents either party from bringing an individual action in small-claims court within Texas or Delaware.

SECTION 19 – ELECTRONIC COMMUNICATIONS

By using the Services, you consent to receive communications electronically from BubbaSKU, including notices about your account, order updates, and transaction confirmations. You agree that all agreements, disclosures, and communications provided electronically satisfy any legal requirement that such communications be in writing.

SECTION 20 – FORCE MAJEURE

BubbaSKU shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, pandemics, or interruptions of internet or logistics services.

SECTION 21 – FRAUD AND SECURITY

To protect our platform and our customers, BubbaSKU utilizes a Serial Number Verification System. We record unique serial numbers and identifiers for electronics, high-value goods, and select product categories prior to delivery. If a returned item’s serial number does not match the unit sold to you, the return may be denied and the incident may be reported to the appropriate authorities.

SECTION 22 – SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms without affecting the validity of any remaining provisions.

SECTION 23 – WAIVER AND ENTIRE AGREEMENT

The failure of BubbaSKU to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms, together with any policies or operating rules posted on our website, constitute the entire agreement between you and BubbaSKU and govern your use of the Services, superseding any prior or contemporaneous agreements. Any ambiguities in interpretation shall not be construed against the drafting party.

SECTION 24 – ASSIGNMENT

You may not delegate, transfer, or assign this Agreement or any of your rights or obligations under these Terms without our prior written consent, and any such attempt will be null and void. BubbaSKU may transfer, assign, or delegate these Terms and its rights and obligations without consent or notice to you.

SECTION 25 – CHANGES TO TERMS OF SERVICE

We reserve the right to update, change, or replace any part of these Terms by posting updates to our website. For material changes, BubbaSKU will provide reasonable notice at least 15 days before changes take effect. It is your responsibility to check our website periodically for changes. Your continued use of the Services following the posting of any changes constitutes acceptance of those changes.
